1. Applicability

1.1 These terms and conditions apply to all quotations, offers, sales, and deliveries by Studio Rems, unless explicitly agreed otherwise in writing.
1.2 By placing an order with Studio Rems, the client agrees to these terms. Deviations are only valid if confirmed in writing by Studio Rems.

2. Priority of Agreements

2.1 In the event of inconsistencies between these terms and any custom agreement, the specifically and explicitly agreed terms (such as in a signed contract or written communication) will take precedence.
2.2 Any general terms and conditions of the client are hereby explicitly rejected, unless Studio Rems has accepted them in writing.

3. Products & Custom Orders

3.1 Due to the handmade nature of the work, slight variations in size, color, or finish may occur and are part of the character of Studio Rems pieces.
3.2 Custom orders are made to specification and cannot be returned, except in the case of damage during shipping or a production defect.

4. Delivery & Lead Times

4.1 Standard products ship within 1-15 business days. For made-to-order or custom pieces, production times will be communicated and confirmed.
4.2 Studio Rems is not liable for delays caused by third-party couriers or customs processing.

5. Pricing & Payment

5.1 All prices are in Euros and include VAT unless stated otherwise.
5.2 Invoices are payable within 14 days unless another payment term has been explicitly agreed. Late payments may incur a fee or interest.

5.3 Prices are fixed, unless the Agreement mentions the circumstances that may lead to price adjustment, as well as specifying how adjustments will be made. 

6. Ownership & Risk

6.1 Products remain the property of Studio Rems until full payment has been received.
6.2 The risk of damage or loss passes to the client upon delivery to the shipping carrier.

7. Complaints & Returns

7.1 Please inspect your order upon arrival. Any issues must be reported within 24 hours of receipt with photo evidence.
7.2 Refunds or replacements will only be issued in case of damage or production faults. Minor variations are not considered defects.

8. Intellectual Property

8.1 All designs, text, images, and concepts remain the intellectual property of Studio Rems and may not be reproduced or used without written permission.

9. Governing Law

9.1 These terms are governed by Dutch law. Any disputes will be settled in a Dutch court.

10. Disclaimer

10.1 Despite careful content control, Studio Rems is not liable for the content of external links. The responsibility for linked pages lies solely with their operators.

11. Copyright Notice

11.1 All content on this website, including text, images, and designs, is the intellectual property of Studio Rems unless otherwise stated. Any reproduction or use without explicit permission is prohibited.

12. Additional Work

12.1 The Supplier will only attend to additional work after the content of that work and the budget have been agreed with the Client in writing.  

12.2 The following are not deemed to be Additional Work: 

a. additional work that the Supplier could have or should have foreseen in order to deliver the work in accordance with the agreed requirements, and 

b. work that results from incorrect and/or incomplete functional or technical specifications, if they were formulated by or on the instructions of the Supplier and/or were accepted by the Supplier, and/or faults in the items that the Supplier should reasonably have been able to foresee. 

13. Revisions & Design Changes

10.1 For custom projects, Studio Rems allows for one minor revision, unless agreed otherwise in writing, after the initial design proposal or prototype.
10.2 Additional revisions beyond the one will incur an extra fee, to be discussed and agreed upon in writing prior to further work.
10.3 Major changes requested after production has started may require a new project quote and timeline.
10.4 Studio Rems retains the right to decline revisions that conflict with the core concept, technical feasibility, or studio values.
